1. Grey-market trading is not pre-IPO investing in private companies

Hong Kong investors often meet the word "pre-IPO" through grey-market (暗盤) trading. It lets you trade shares of an IPO that has already been priced and allotted, through a participating broker, before official trading starts. It is useful for that purpose, but it does not give you access to a private company years before a listing, and it only covers companies listing in Hong Kong.

2. Pre-IPO funds and SPVs

Funds and special purpose vehicles (SPVs) pool investors' money to buy shares in private companies. They can offer exposure to names that never trade publicly, but they often come with high minimums, management and carry fees on top of each other, multi-year lock-ups and limited reporting. 3. Private secondary marketplaces

Secondary platforms match buyers with employees and early investors who want to sell. Prices are negotiated, the company may have the right to block a sale, and deals can take weeks to settle. Is OpenStocks available in Hong Kong?

Hong Kong is not named in the list of Prohibited Jurisdictions in the OpenStocks Terms of Service. The list does name China (Mainland), Singapore and the United States, among others. The Terms also exclude any jurisdiction where using the Services would be unlawful or would require a licence, registration or authorisation OpenStocks does not hold, and say OpenStocks is not a regulated financial entity anywhere. A US person, or a citizen or resident of Singapore or Mainland China, is excluded even while living in Hong Kong, and nobody may use the Services while physically in a Prohibited Jurisdiction or through a VPN.
