Yes, confidentially. On 1 June 2026 Anthropic, PBC announced that it had "confidentially submitted a draft registration statement on Form S-1" for a proposed IPO of its common stock. The announcement, made under SEC Rule 135, said the number of shares and price had not been set and that the offering "will depend on market conditions and other factors".

A confidential submission lets the SEC review the document before anything is published. The company must make the S-1 public at least 15 days before starting its roadshow. As of early October 2026, no public S-1 had appeared on EDGAR.

When is the Anthropic IPO date?

There is no confirmed date. Reporting in late September 2026 pointed to a listing after the US midterm elections on 3 November 2026. The remaining steps are well defined:

  1. SEC comments on the draft are resolved.

  2. The S-1 is filed publicly, at least 15 days before the roadshow.

  3. An amended S-1 sets a price range, an exchange and a ticker.

  4. The roadshow runs, usually one to two weeks, then the deal prices and trades.

So the earliest practical window is several weeks after the public S-1 lands. Market conditions can still push it back; Kraken's parent Payward filed confidentially in November 2025 and later delayed its plans into 2027.

Note the mismatch between the 2025 revenue figure (a full-year number) and the $47 billion run-rate Anthropic cited in May 2026 (an annualised current figure). Both can be true at once for a company growing this quickly, but they shouldn't be compared directly.

Founder control after listing

The draft describes a Founder LLC holding a special Class F share with 50.1% of voting power on key matters, including some director elections. Public Class A shares would carry one vote each.
