Kraken's parent company, Payward, confidentially submitted a draft S-1 to the SEC in November 2025, froze its plans in March 2026 as crypto markets cooled, and was reported by CoinDesk on 2 September 2026 to be aiming for Q2 2027 at the earliest. Payward has no ticker, no public S-1 and no price range.

The confidential draft remains on file, but no public S-1 has appeared on EDGAR. Because the draft is confidential, outsiders can't see its contents or how far SEC review has progressed.

Kraken IPO date: what "Q2 2027 at the earliest" means

The Q2 2027 target comes from people familiar with the matter cited by CoinDesk, not from a company announcement. Payward hasn't given a date. Treat it as a floor, not a forecast. To list in Q2 2027, Payward would need to file a public S-1 at least 15 days before a roadshow, set a price range and ticker in an amended filing, and find a market willing to price a crypto exchange at or above its private marks.

The last condition is the hard one. The March pause was driven by falling crypto prices and trading volumes, which hit exchange revenue directly. A recovery in volumes would likely bring the IPO forward; another downturn would push it out again.

The small step-up from $20 billion to $21 billion over ten months, during a weak crypto market, tells you two things. Strategic investors still want a stake, and nobody is paying a large premium while volumes are soft. Any IPO price will be benchmarked against these two marks.

What the business looks like

CoinDesk reported Payward's adjusted revenue for the second quarter of 2026 at $508 million, up 17% from a year earlier despite lower transaction volume. Payward has been expanding beyond spot crypto trading into banking-style services, asset management, institutional products and tokenized equities. Its leadership says it can fund that expansion from its own balance sheet, which is why an IPO is optional rather than urgent.

Why Kraken is in no rush

  • Profitability. Payward says it is profitable, so it doesn't need public capital to operate.

  • Strategic capital is available. Citadel Securities and Nasdaq have both invested; strategic partners bring distribution as well as money.

  • Valuation risk. Listing into a soft crypto tape risks pricing below the $20 to $21 billion private marks.
